These Terms of Service ("Terms") are the agreement between the business that signs up ("you") and Codemation B.V. ("Codemation", "we", "us") for the use of the Codemation app, the website at codemation.eu and related services (together, the "Service"). Codemation B.V. is a company registered in the Netherlands with the Dutch Chamber of Commerce (KvK) under number 42196131. By creating an account or using the Service, you agree to these Terms.
1. The Service
Codemation lets you build automations for your business and work with Concierge, an AI assistant that can work in the apps you connect. We are actively developing the Service, so features may be added, changed or removed over time.
2. Business use only
The Service is for businesses, not consumers. By signing up you confirm that you use it for your business or profession and that you are authorised to accept these Terms on behalf of your business.
3. Your account
Keep your sign-in details safe and your account information accurate. You are responsible for what happens in your account, including what people you invite to your workspace do there. Tell us right away at hello@codemation.eu if you suspect misuse.
4. AI and automations
Concierge and automation steps use AI. AI can make mistakes: it can misunderstand a request, miss information, or produce a wrong result. You decide what Concierge and your automations do, and you are responsible for checking their work before you rely on it, especially before something is sent, published, paid or deleted. Automations you switch on run on your instruction. We do our best to make the Service reliable, but we are not responsible for decisions or actions you approved or automations you activated, except as set out in Limitation of liability.
5. Connected apps
You can connect apps from other providers, such as Google, Microsoft, Slack and WhatsApp. By connecting an app, you allow Codemation to access it on your behalf, within the permissions you approve, to provide the features you use. You can disconnect an app at any time. Your use of those apps remains subject to their own terms, and we are not responsible for how they work or for changes they make.
6. Your data
Everything you bring into Codemation, including your automations, files, conversations and the data from your connected apps ("your data"), remains yours. You give us permission to process your data only as far as needed to provide and secure the Service. We do not use your data to train AI models and do not sell it. Our Privacy Policy explains how we handle personal data.
7. Processing agreement
Your data may contain personal data of other people, such as your customers or employees. For that data you are the controller and we are your processor, and this section is our processing agreement under the GDPR (article 28):
- We process personal data only on your instructions, which are these Terms and how you use the Service, and only to provide the Service.
- Everyone at Codemation with access to it is bound to confidentiality.
- We take appropriate technical and organisational security measures, such as encryption of access keys and restricted access to production systems.
- You authorise us to use the types of sub-processors described in our Privacy Policy. We bind them to the same obligations and will tell you in advance about changes, so you can object.
- We help you answer requests from people who want to use their privacy rights, and we inform you without undue delay if we discover a data breach that affects your data.
- When the agreement ends, we delete your data within 30 days, unless the law requires us to keep it.
- On request, we give you the information you need to check that we meet these obligations.
You are responsible for having a lawful basis for the personal data you bring into Codemation.
8. Plans and payment
Paid plans are billed monthly in advance through our payment provider. Prices exclude VAT unless stated otherwise. You can cancel at any time; cancellation takes effect at the end of the month you have paid for, and we do not refund partial months. If a payment fails, we may suspend the Service until it is resolved. We will tell you in advance of any price change, which applies from your next billing month.
9. Acceptable use
- Do not use the Service in violation of any law, including privacy law and laws against spam and unsolicited messages.
- Do not attempt to disrupt, compromise, or gain unauthorised access to the Service or its infrastructure.
- Do not misuse, reverse engineer, or resell the Service without our consent.
We may suspend accounts that break these rules.
10. Intellectual property
The Service, including its content, branding, and software, is owned by Codemation or its licensors. These Terms do not grant you any right to our trademarks or branding. The automations you build and your data remain yours.
11. Availability
We work to keep the Service available and working well, but we cannot promise that it will always be uninterrupted or error-free. To the extent the law allows, the Service is provided "as is", without warranties beyond those in these Terms.
12. Limitation of liability
Our total liability towards you for all claims together is limited to the fees you paid us in the 12 months before the event that caused the damage. We are not liable for indirect or consequential damage, such as lost profit, lost revenue, lost data or reputational damage. These limits do not apply if the damage is caused by our intent or gross negligence.
13. Ending and changes
You can stop using the Service and cancel at any time, as described in Plans and payment. We may end or suspend your account if you seriously or repeatedly break these Terms. After the agreement ends, you can ask us for a copy of your data for 30 days, after which we delete it.
We may update these Terms. Before an important change takes effect, we will let you know by email or in the app. If you do not agree, you can cancel before it takes effect; if you keep using the Service, the new Terms apply.
14. Governing law
These Terms are governed by the laws of the Netherlands. Disputes will be submitted exclusively to the competent court in the Netherlands.
